01

Purpose and documents

The Novrinex Prop program is a simulated trading program governed by this Program Agreement, the Prop Rulebook, and the Order Form recorded for each account. The general Novrinex Terms of Service and Privacy Policy also apply. If documents conflict, the account-specific Order Form controls commercial and numerical account terms, the Rulebook controls trading calculations and operational rules, this Agreement controls the Prop relationship, and the general Terms of Service controls matters not addressed here.

02

Simulation and no custody

Prop balances, positions, orders, profit, and loss are simulated. pUSDC has no cash value, is not a deposit, cannot be withdrawn, and is not owned by the participant. Buying or claiming an account does not open a brokerage, bank, custodial, or investment account. An eligible reward may be paid separately in USDC only under the Rulebook.

03

Eligibility and account control

The participant must have legal capacity, satisfy the age and geographic requirements in the general Terms of Service, control the Novrinex account and wallet used, and provide accurate eligibility or payment information when reasonably requested. Accounts may not be sold, transferred, shared, or operated for another person. One person may not evade limits through additional wallets, identities, devices, or coordinated accounts.

04

Order Form and provisioning

Before acceptance, checkout displays the program, simulated starting balance, fee, targets, loss limits, reward share, leverage, and policy version. Novrinex records those terms as the account's Order Form. They remain fixed for that account. Novrinex may correct an obvious display, catalog, or pricing error before trading begins; if the participant does not accept the correction, the confirmed fee will be refunded and the account will not be activated.

05

Fees, payments, and refunds

The checkout amount is a one-time program fee, not trading capital or a deposit. It becomes final when the account is provisioned or trading begins. A confirmed payment is eligible for refund when Novrinex cannot provision the account because of a Novrinex failure. Breach, trading loss, inactivity, abandonment, ineligibility, prohibited conduct, network fees, card or on-ramp charges, and a participant's payment error are not refundable unless applicable law requires otherwise. Approved refunds return through the original method or originating wallet when reasonably possible.

06

Participant duties and fair use

The participant must follow the Rulebook, protect account access, review order details, and promptly report suspected compromise or technical errors. Personal API clients and personal automation are permitted unless the Order Form says otherwise. Account sharing, cross-user copying, coordinated or offsetting accounts, wash trading, self-dealing, promotion or payment abuse, geographic evasion, interference with risk controls, and knowing exploitation of stale, delayed, duplicated, or erroneous data are prohibited.

07

Review and enforcement

Novrinex may temporarily restrict new orders, rewards, or account access when objective indicators suggest a security, payment, eligibility, or fair-use issue. A review may use account access records, orders, fills, timing, linked payment and wallet records, device or network security signals, and communications, subject to the Privacy Policy. Outcomes may include restoring the account, correcting an erroneous record, voiding affected simulated activity, closing an account, denying an ineligible reward, refunding an unprovisioned account, or restricting future participation. The account page or support response will state the material reason. The participant may request review through Support within 14 days of notice.

08

Rewards and compliance

Rewards are discretionary program payments calculated only from eligible realized profit under the frozen reward share. They are not withdrawals from the simulated account. A request may require identity, sanctions, fraud, ownership, tax, or payment review. The participant is responsible for taxes and a correct receiving address. Novrinex may correct duplicate or excess payments and may offset an established overpayment against a later reward where permitted by law.

09

Availability, data, and corrections

Market data, simulated liquidity, networks, chains, payment providers, and maintenance may affect availability. Orders fail closed when required market or risk data is unavailable or stale. Novrinex may correct duplicate records, demonstrable technical errors, invalid fills, or data corruption using the finalized system records described in the Rulebook. Legitimate finalized activity will not be changed merely because it was profitable or unprofitable.

10

Changes, records, and notices

Each account retains the Agreement, Rulebook, and Order Form versions accepted for that account. Material changes require new acceptance for future purchases and do not retroactively change frozen numerical rules. A security, legal, or integrity change may restrict future activity on an existing account only where reasonably necessary, with notice and a recorded reason. Novrinex retains acceptance and account records as described in the Privacy Policy. Electronic notices may be provided in-product or through account contact details.

11

General terms

The liability, dispute, governing-law, intellectual-property, privacy, termination, severability, and contact provisions in the general Novrinex Terms of Service apply to the Prop program except where this Agreement expressly provides a more specific Prop rule. Nothing in this Agreement excludes rights or remedies that cannot lawfully be excluded.
